1. Agreement to Terms

These Terms and Conditions ('Terms') constitute a legally binding agreement between you ('User', 'you', or 'your') and Grozio Technologies ('Company', 'we', 'us', or 'our'), the operator of the Grozio multi-vendor grocery, food, and delivery platform ('Platform'), accessible via the Grozio mobile application and website at https://grozio.store.

By accessing or using the Grozio Platform in any manner — including as a Customer, Seller/Vendor, or Delivery Partner — you confirm that you are at least 18 years of age, have the legal capacity to enter into a binding contract under Indian law, and agree to be bound by these Terms, our Privacy Policy, and Refund Policy.

If you do not agree to these Terms, you must immediately stop using the Grozio Platform.

2. Definitions

• 'Platform' refers to the Grozio mobile application, website, and all related services
• 'Customer' means any individual who registers on Grozio to browse, order, or receive deliveries
• 'Seller/Vendor/Restaurant' means any business or individual who lists products or food items on the Platform
• 'Delivery Partner' means any individual registered on the Platform to pick up and deliver orders
• 'Order' means a confirmed purchase of products made by a Customer through the Platform
• 'Content' means any text, images, reviews, ratings, or other material submitted by users
• 'Services' means all features, functions, and offerings provided through the Platform

3. Eligibility and Account Registration

3.1 Eligibility

You must be at least 18 years of age to use Grozio. By using our Platform, you represent and warrant that you meet this age requirement. Grozio reserves the right to terminate accounts found to belong to minors.

3.2 Account Creation

To access most features of Grozio, you must create an account using:

• Your mobile phone number (verified via OTP), or
• Your Google account (via Google Sign-In)

You agree to provide accurate, current, and complete information during registration and to keep your account information updated.

3.3 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately at grozioofficial@gmail.com if you suspect unauthorized access. Grozio will not be liable for any loss or damage arising from your failure to maintain account security.

3.4 One Account Policy

Each user may maintain only one active customer account. Creation of duplicate accounts may result in suspension or permanent ban.

4. Customer Terms

4.1 Placing Orders

When you place an order on Grozio:

• You confirm that the delivery address provided is accurate and accessible
• You confirm that you have provided valid payment details or selected Cash on Delivery
• You understand that order acceptance is subject to vendor availability and product stock
• You agree to be available at the delivery address during the estimated delivery window

4.2 Order Modifications and Cancellations

• Orders may be cancelled by the Customer before the vendor accepts/starts preparation
• Once a vendor has started preparing your order or a delivery partner has been assigned, cancellations may not be accepted
• In case of technical errors leading to duplicate orders, please contact support immediately

4.3 Accurate Information

You agree not to provide false or misleading delivery addresses. Providing incorrect address information that results in failed delivery will not entitle you to a refund.

4.4 Prohibited Conduct — Customers

• Placing fraudulent, false, or test orders with no intent to pay
• Abusing the refund or complaints system
• Harassing, threatening, or abusing vendors or delivery partners
• Creating fake ratings or reviews
• Attempting to reverse-engineer, scrape, or misuse the Platform

5. Seller / Vendor Terms

5.1 Onboarding and KYC

To sell on Grozio, vendors must complete identity and business verification by providing:

• Business registration proof (GSTIN, if applicable)
• Identity verification and active bank account details for payout processing

5.2 Product Listings

• All listed products must be accurately described with correct pricing including GST
• Sellers must not list expired, counterfeit, or prohibited products
• Sellers are responsible for maintaining adequate inventory
• Grozio reserves the right to remove listings that violate platform standards

5.3 Order Fulfillment Obligations

• Sellers must accept or reject incoming orders within the time window specified in the Seller App
• Sellers must ensure orders are packed correctly, hygienically (for food), and ready for pickup on time
• Repeated order cancellations or delays may result in seller account suspension

5.4 Payouts

Seller payouts are processed by Grozio after deducting the applicable platform commission and payment gateway charges. Payout cycles and dispute resolution are governed by the separate Seller Agreement.

5.5 Platform Commission

Grozio charges a platform commission on each completed order. The applicable rate is communicated at the time of seller onboarding and may be updated with 30 days prior notice.

6. Delivery Partner Terms

6.1 Registration Requirements

To register as a Delivery Partner on Grozio, you must:

• Be at least 18 years of age
• Hold a valid Indian driving license
• Own or have access to a registered vehicle
• Pass Grozio's identity verification (Aadhaar, PAN, DL, RC verification)

6.2 Delivery Partner Obligations

• Handle packages with care and deliver them in the condition received
• Arrive at the pickup location within the assigned time window
• Treat customers professionally and respectfully
• Not open, tamper with, or steal any delivery packages
• Maintain active app location sharing during active deliveries

6.3 Independent Contractor Status

Delivery Partners are independent contractors and not employees of Grozio Technologies. Grozio does not provide employment benefits, insurance, or statutory payments to Delivery Partners.

6.4 Delivery Partner Earnings

Earnings are calculated per delivery based on distance, order value, and applicable incentives. Grozio may deduct applicable TDS as required under Indian income tax law. Detailed earning policies are covered in the Delivery Partner Agreement.

7. Payments and Pricing

7.1 Accepted Payment Methods

• UPI (Unified Payments Interface)
• Credit Cards and Debit Cards (Visa, Mastercard, RuPay)
• Net Banking
• Cash on Delivery (COD) — available in select areas

7.2 Payment Gateway

All online payments are processed through Razorpay, a PCI-DSS compliant payment gateway. Grozio does not store your card or UPI credentials. By making a payment on Grozio, you also agree to Razorpay's Terms of Service.

7.3 Pricing and Taxes

• All prices displayed on Grozio include GST unless explicitly stated otherwise
• Delivery charges are calculated dynamically based on distance and order value
• A platform convenience fee may apply on certain orders
• COD handling charges may apply on Cash on Delivery orders

7.4 Loyalty Points and Coupons

• Loyalty points are earned on eligible orders and can be redeemed against future orders
• Coupon codes are subject to their specific terms and expiry dates
• Loyalty points have no cash value and cannot be transferred or exchanged
• Grozio reserves the right to expire or deduct loyalty points in case of fraud

8. Platform Rules and Prohibited Activities

Users of Grozio agree not to:

• Violate any applicable local, state, or central Indian laws or regulations
• Impersonate any person or entity or misrepresent your affiliation
• Upload, post, or transmit any unlawful, harmful, defamatory, or obscene content
• Engage in any activity that could damage, disable, or overburden Grozio's infrastructure
• Use automated bots, scrapers, or tools to extract data from the Platform
• Circumvent or bypass any security features or access controls
• Engage in price manipulation, fake reviews, or artificial order generation
• Use the Platform for any purpose other than legitimate food and grocery ordering

9. Intellectual Property

All content on the Grozio Platform — including the Grozio logo, app design, user interface, text, images, graphics, and software — is the exclusive property of Grozio Technologies or its licensors and is protected under Indian copyright, trademark, and intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to use the Grozio App for personal, non-commercial purposes only. This license does not include the right to:

• Copy, modify, or create derivative works from our Platform
• Sell, resell, or commercially exploit any part of the Platform
• Reverse-engineer or decompile any software underlying the Platform

10. Disclaimers and Limitation of Liability

10.1 Platform as Marketplace

Grozio is a technology platform that connects customers with independent sellers and delivery partners. Grozio does not manufacture, prepare, or inspect the products sold by vendors. The quality, safety, and accuracy of products are the sole responsibility of the respective vendor.

10.2 Service Availability

Grozio makes no guarantee of uninterrupted, error-free service. We reserve the right to suspend or modify any part of the Platform for maintenance, updates, or unforeseen technical issues.

10.3 Limitation of Liability

To the maximum extent permitted by applicable Indian law, Grozio's total liability to you for any claim arising from use of the Platform shall not exceed the amount you paid for the specific order giving rise to the claim in the 30 days preceding the event.

10.4 Force Majeure

Grozio shall not be liable for any delay or failure in service delivery caused by circumstances beyond our reasonable control, including natural disasters, pandemic, government action, internet outages, or labor disputes.

11. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles.

11.1 Informal Resolution

In the event of any dispute, you agree to first contact Grozio at grozioofficial@gmail.com to attempt to resolve the matter informally within 30 days.

11.2 Jurisdiction

If informal resolution fails, disputes shall be subject to the exclusive jurisdiction of the courts located in Andhra Pradesh, India.

12. Termination

Grozio reserves the right to suspend or permanently terminate your account, without prior notice, for:

• Violation of these Terms and Conditions
• Fraudulent, abusive, or illegal activity on the Platform
• Non-payment or chargeback abuse
• Any conduct that harms other users, vendors, partners, or the Grozio brand

Upon termination, your right to use the Platform ceases immediately. Any outstanding orders at the time of termination will be handled at Grozio's discretion.

13. Changes to These Terms

Grozio reserves the right to modify these Terms at any time. Changes will be communicated via in-app notification and/or email. Your continued use of the Platform after the effective date of updated Terms constitutes acceptance of the new Terms.
